Key Points
ACRA’s directory links the establishment and upkeep of nominee-director and nominee-shareholder registers with filing their information centrally. The central-filing guide applies to companies and registered foreign companies unless exempt. Review both topics: maintaining an internal register and reporting the information to ACRA are related but separate tasks.
Use the Private Register Guide for the Underlying Record
The two linked guides answer different questions. The setting-up guide identifies who must keep private registers, where to keep them, what nominee and nominator particulars to record, and how to handle a business with no nominees. Unless exempt, the requirements also cover dormant companies and registered foreign companies. ACRA permits physical or electronic registers at the registered office or the corporate service provider’s office. Supporting documentation stays with those private records, rather than being routinely uploaded with each central submission. Start with that evidence before deciding which central records need to be added, changed or ceased.
Use the Central Filing Guide for Reporting Changes
A change in the private record triggers a separate central-filing deadline: update the Central ROND or RONS within two business days after the private registers are updated. Each nominee arrangement needs its own record, even where the same nominee or nominator appears repeatedly. Correct a central-register mistake through the register-update service, not by automatically submitting a Notice of Error. The central guide also distinguishes publicly visible current nominee status from private nominator details and historical arrangements. Other appointments or shareholder particulars may require their own updates as well; changing a nomination is not a general update to every record about that person.
