Key Points
Unless exempt, local and registered foreign companies maintain private ROND and RONS and file centrally, including where they have no nominees or are dormant. A nominee must disclose the status on incorporation or within 30 days of becoming a nominee later. Keep the required nominee and nominator details at the registered office or CSP’s office. Exemption status must still be notified.
Maintain a Record Even When There Are No Nominees
Determine whether the company qualifies for an exemption before treating a dormant business or a business without nominees as outside the regime. ACRA requires non-exempt companies to maintain the registers even during winding up, striking off, receivership or judicial management. Where no nominee information has been received, its guidance provides a statement recording that position. Keep the private record physically or electronically at the registered office or the corporate service provider’s office. Retain supporting documents with it; those supporting documents do not have to be uploaded with the central filing.
Record the Nominator and Track Both Deadlines
An individual nominator’s particulars include identification and contact details, nationality and birth date. A corporate nominator needs entity particulars, legal form, jurisdiction, registrar and registration information where applicable. Record when each nominee arrangement began and when it ended; a nominee’s name alone is insufficient. Changes such as a new nominee, an ended arrangement or altered nominator particulars require the private registers to be updated within seven days. Filing with the Central ROND and RONS is then due within two business days after that private update. There is no annual private-register update when nothing has changed.
