Identify Which Breach the Notice Concerns
A late AGM and a late annual return can produce separate enforcement consequences. Check the financial year, obligation and charge described in the notice before deciding how to respond; filing a return later does not itself dispose of a meeting-related offence. ACRA may offer composition instead of prosecution, with a minimum S$500 for each AGM breach, but composition is not guaranteed. The authority may prosecute where composition is not accepted, breaches are multiple or repeated, or it decides not to offer composition, including after a summons has been issued.
Treat a Summons as a Separate Required Action
A summons is sent by registered mail to the company’s registered office or the director’s home address and states the court, date and time. A company representative needs a letter of authority; the representative or director must attend even while an appeal is being processed. The official guidance explains that a hearing may proceed without a company representative, while a director who fails to attend faces an arrest warrant. In court, the available responses can include accepting composition if offered, pleading guilty or claiming trial. A conviction can bring a fine of up to S$5,000 per charge and a possible default penalty.
