Company Compliance After Incorporation

Annual filings and ongoing changes are separate compliance responsibilities.

Key Points

ACRA’s overview connects AGM and annual-return requirements with financial reporting, tax filing and register maintenance. Filing an annual return does not complete the company’s IRAS obligations. Companies must also maintain particulars and applicable controller and nominee registers, display required identifying information and deal with charge registration or filing corrections when relevant. Constitutional and share changes have their own transaction routes.

Separate Annual Filings from Event-Driven Updates

Build the annual calendar around the recorded financial year end and the company’s actual type. Decide whether an AGM exemption applies, prepare the required financial statements and determine the applicable annual-return route. A registered foreign company follows its annual financial reporting requirements rather than automatically using the local-company return. Keep IRAS tax filing as a separate workstream: completing an ACRA filing does not discharge the tax obligation. For a newly registered business, the post-registration guidance also directs attention to Corppass, licences and permits before operations begin.

Give Corporate Changes Their Own Filing Route

Maintain controller and nominee information in both the applicable private registers and the relevant central registers. A shareholder change, an alteration to the constitution and a change of financial year end are different transactions; one general information update does not replace all three. Registration of new charges is also an ongoing responsibility with its own requirements. For revised financial statements, ACRA’s overview specifies filing the Notice of Error and re-filing non-compliant statements within 30 days of revision. As a practical handover, assign each event to a responsible officer and retain its acknowledgement separately from the annual-return receipt.
