A change of address or opening hours must be reported within 14 days. Separately inspect invoices, official notices, business correspondence and other prescribed documents for the company’s identifying details. Treat Officer and Filing Breaches Separately
Changes involving directors, the CEO, secretary or auditor must be notified within 14 days. A resigning or disqualified director can personally notify ACRA if the company is unlikely to do so. This notification does not resolve missed AGM or annual-return duties, which have their own rules. Before appointing a director, check applicable disqualification restrictions; the company must retain at least one ordinarily resident director. The guidance also prohibits knowingly giving ACRA misleading information or omitting important information. A practical compliance review should therefore check both whether a filing was submitted and whether its contents accurately describe the company’s position.
