Foreign Company Annual Financial Reporting

Head-office and Singapore-branch statements are assessed separately.

Source checked · 18 October 2026

Key Points

Head-office requirements depend on listing status and accounting standards. Non-English statements require the original and an English translation. An active Singapore branch generally files audited statements; dormant branches and approved relief have different treatment. Relief or waiver applications need final documents and a S$200 fee. A branch should not infer an exemption merely because its overseas head office follows different reporting rules.

Classify Head-Office and Branch Statements Separately

For a listed foreign company, the head-office financial statements must meet the rules of the exchange where it is listed. An unlisted company checks the accounting standards and audit requirements described in ACRA’s alternatives. One alternative uses unaudited summary statements prepared from the jurisdiction’s records, including the required statements, material accounting policies and directors’ statement. Those head-office choices do not determine the Singapore branch’s status automatically. Keep a separate branch assessment: an active branch generally files audited statements, while a dormant branch files the specified unaudited statements unless approved relief or waiver changes the requirement.

Apply the Actual Relief and Translation Requirements

Non-English statements require both the original-language version and an English translation. For the Singapore branch, the records address its profit and loss, assets used in Singapore and liabilities from Singapore operations. ACRA’s dormant-branch explanation allows certain administrative accounting activities; do not infer dormancy merely from low turnover or an inactive overseas parent. If seeking exemption or relief, submit final, complete documents rather than drafts and choose the correct head-office or branch application category. The guidance requires the directors’ declaration and a non-refundable S$200 fee. The approved terms, rather than the fact that an application was lodged, determine what filing or audit relief applies.
