Winding Up a Local Company

Liquidation is a formal process for dealing with obligations and closure.

Source checked · 11 October 2026

Key Points

ACRA outlines members’ voluntary, creditors’ voluntary, court-ordered and simplified winding-up routes. The appropriate path depends on solvency and the applicable eligibility conditions. A liquidator or provisional liquidator handles the process and necessary notices. Bizfile separates liquidator-management filings from other lodgements such as statements of affairs. Financial distress may also warrant considering restructuring before liquidation.

Select the Winding-Up Route Using Current Conditions

Assess solvency and the intended process before selecting a filing. For a solvent local company pursuing members’ voluntary winding up, ACRA’s detailed declaration guide asks for the meeting date, directors who made the declaration and a statement of affairs. That declaration is the first of three required filings; the resolution notice is the next step. It is not the same as a completed liquidation or a debt-free striking-off application.

For simplified winding up, use the current MinLaw SIP 2.0 material rather than relying on older micro-company revenue descriptions. The programme effective from 29 January 2026 requires liabilities, including contingent, prospective and related-party liabilities, not exceeding S$2 million, as well as suitability and objection conditions. Existing proceedings, disputes or other circumstances listed in the FAQ can prevent entry. The nominated liquidator must assess the complete conditions; the debt ceiling alone does not establish eligibility.

As practical preparation, compile the assets, liabilities, creditor details and relevant proceedings for the chosen process. After commencement, use the appropriate notices for liquidator appointments, accounts, final meetings or dissolution. ACRA separates Manage Winding Up from General Lodgement transactions. Keep those filings aligned with the actual process and responsible liquidator, rather than assuming one online submission settles debts or immediately closes the company.
