Company Share Transactions: Choosing the Right Filing

ACRA distinguishes new share issues from transfers and changes to capital.

Source checked · 18 October 2026

Key Points

The share directory provides separate routes for allotment, transfer, conversion, redenomination, buyback and capital changes. It also covers financial assistance, treasury shares, redeemable preference shares and paid-up capital updates. Errors in earlier share filings have a dedicated correction route. Identify the actual transaction before filing: changing ownership of existing shares is different from creating new shares.

Choose the Filing from the Commercial Event

Start by describing what is changing. Creating new shares points to allotment; transferring shares already held by one shareholder points to the transfer route. Changing the class of existing shares is conversion, while changing their currency denomination is redenomination. Receiving further payment on partially paid shares has a dedicated paid-up-capital update. These distinctions matter because a transaction affecting ownership does not always create new shares, and a change in share capital is not always a reduction. The directory provides separate instructions rather than a single form that covers every corporate decision.

Check Approvals, Effectiveness and Correction Routes

Read the detailed guide before setting the completion date. For conversion, the constitution must permit the change, with a special-resolution filing needed where it must first be amended. Treasury-share cancellation or disposal has different requirements for private and public companies; private-company effectiveness depends on the electronic member-register update. Capital reduction involves members’ approval or a court-order route with its own filing sequence. An error in an earlier share transaction also has a dedicated Notice of Error process. As a practical preparation record, identify the existing and proposed share position, the approving decision, the relevant transaction and the acknowledgement needed to verify that the correct filing was completed.
