Scope and Key Points
The LLP section distinguishes annual declarations and register maintenance from transaction corrections and restructuring. It includes guidance on converting an existing business into an LLP, receivership and closure. Closure itself has separate striking-off and winding-up routes: the directory describes striking off for an inactive, debt-free LLP and winding up where liabilities need settlement. Follow the relevant detailed guide before selecting a Bizfile transaction.
Choose an LLP Update, Correction or Restructuring Route
For routine administration, distinguish an actual change from a mistake in an earlier filing. A new registered office or partner appointment follows the update route; a clerical error in the address or appointment date may use a Notice of Error. The detailed correction guide lists business activity, registered office, appointment or withdrawal dates, and partner or manager particulars. It is not a route for changing a completed transaction’s commercial substance.
Keep recurring duties separate from both routes. The LLP overview identifies the first annual declaration within 15 months of registration and later declarations once every calendar year, no more than 15 months after the last. General information updates and any applicable controller-register requirements have their own deadlines. As practical preparation, identify the obligation rather than treating an annual declaration as a universal update.
An LLP converted from a partnership or company also has a document-display obligation. ACRA requires a conversion statement identifying the former entity and conversion date for 12 months, starting 14 days after registration. Check correspondence and invoice templates accordingly. Where the issue is receivership, conversion or closure, use the dedicated detailed guide and assess its conditions before selecting a transaction; an error correction cannot replace a restructuring or winding-up process.
