Key Points
Prepare the meeting date, a description and the resolution PDF, limited to 5 MB. Where relevant, include holding-company representative minutes. Company officers or a CSP use the special-resolution category in Bizfile. ACRA lists no fee and immediate processing. Filing the notice records the resolution; check whether the underlying action, such as constitutional alteration, requires another transaction as well.
Prepare the Notice and Check the Filing Result
As practical preparation, keep the adopted resolution beside the proposed filing so that the meeting date and description describe the same decision. Check the company’s UEN before entering those details. A company officer signs in as a Business User with Corppass; a corporate service provider selects its CSP profile and the correct client. Selecting the wrong entity or notice category would put otherwise accurate documents into the wrong transaction.
Under File Notice of Resolution, select Notice of Resolution (Special Resolution), rather than the ordinary-resolution category. Upload the resolution PDF within the 5 MB limit. The holding-company representative’s minutes are conditional: only select that option and provide the signed-minutes date and PDF if filing those minutes. They are not an extra attachment required for every special resolution. Follow Bizfile’s filename restrictions when preparing uploads.
Review the declaration and retain the on-screen acknowledgement and Bizfile Inbox notification after submission. Immediate processing describes this notice service, not the timetable for every corporate action mentioned in a resolution. If the decision changes the constitution, check the separate alteration transaction and applicable provision before treating the work as complete. ACRA links that procedure separately from the special-resolution notice.
