Company Register Maintenance and Deadlines

Electronic registers and private ownership registers operate differently.

Source checked · 18 October 2026

Key Points

Bizfile updates populate the relevant officer and membership records. Separate private registers cover controllers and nominee arrangements, with central filings following private updates. Controller confirmation and annual verification must also be managed. Check the detailed controller-identification guide for ownership and control tests; the threshold for sending an enquiry notice is not the same as the test for being a controller.

Match Each Update to the Correct Register

Start by identifying the record affected by a change. Officer and shareholder updates filed through Bizfile update the relevant electronic registers. Private controller and nominee registers need their own maintenance and separate central submissions. A single personnel filing is therefore not a complete ownership-record update where controller or nominee information also changes.

  • Electronic records: ACRA’s overview gives 14 days to report changes to shareholder and officer information.
  • Private RORC: unless exempt, establish it on incorporation. When a controller confirms changed particulars, update the private record within seven days.
  • Private ROND and RONS: unless exempt, maintain these even without nominees. Update within seven days when nominee status or nominator particulars change.
  • Central records: where required, file subsequent changes to the Central RORC, ROND or RONS within two business days after updating the corresponding private register.

The company-register overview also contains exceptions for certain personal-detail changes by Singapore citizens and permanent residents. Check the applicable electronic-register procedure before assuming a separate ACRA update is always required. The exception does not apply to the Electronic Register of Members or the foreign-company Public Register of Members.

For controller identification, use the detailed ownership and control tests ↗. The enquiry-notice population includes directors and members with at least 5% of voting shares; that is not the same as the more-than-25% significant-interest test. This distinction avoids treating every notice recipient as a registrable controller.
