Key Points
ACRA describes cash sales, transfers under share schemes and transfers as consideration for assets or shares. The filing route records cancellation or disposal under section 76K. Private-company effectiveness follows the electronic register update; public companies file within 30 days of the event. The transaction is free. Select the correct action rather than recording every treasury-share movement as an allotment.
Distinguish Cancellation from Disposal
After a buyback, identify whether the company intends to cancel all or only some treasury shares, or to dispose of them through a permitted transaction. Cancellation means the affected shares cease to exist. Disposal can include a cash sale, a transfer under a share scheme, or using shares as consideration for specified shares or assets. Other uses require the applicable ministerial approval. A transfer of treasury shares is therefore not automatically a new allotment. As a practical reconciliation, record how many treasury shares are affected and how the balance changes, then use the filing route matching the actual decision.
Check the Company Type Before Dating Completion
Private companies file the cancellation or disposal so it appears in the Electronic Register of Members. The transaction takes effect on the filing date once that register has been updated. Public companies instead must file the return notice within 30 days after the cancellation or disposal date. An officer or engaged corporate service provider may use Update shares information and select the notice under section 76K. The transaction is free and approval is immediate, but retain its acknowledgement and reconcile the resulting register position. A correction to a mistaken share filing may need the separate Notice of Error process rather than another disposal notice.
